1. THE YONNE ARCHITECTURE & SCOPE

1.1. System Definition

Yonne is a proprietary, multi-layered logistics ecosystem (the "Ecosystem") comprising consumer interfaces, merchant management consoles, and courier coordination portals. These are powered by our integrated backend architecture, hereafter referred to as the "Central Command Unit."

1.2. Binding Agreement

By accessing any node within the Yonne Ecosystem, you enter into a legally binding contract with Vendorme Technologies. These Terms supersede any prior informal communications or verbal agreements.


2. ELIGIBILITY & ACCOUNT INTEGRITY

2.1. Verification Standards

Access to Yonne is a privilege, not a right. All users must undergo a verification process. We reserve the right to verify identities through third-party telecommunications and government databases in accordance with Malawian law.

2.2. Non-Transferability

Your Yonne credentials (API keys, passwords, or biometric tokens) are non-transferable. Any "Account Sharing" is a material breach of security and will result in immediate permanent suspension.

2.3. System Hygiene

Users are prohibited from introducing any code, scripts, or automated "crawlers" into the Ecosystem. Our Automated Defense Layer monitors all traffic; any detected anomalies will trigger an automated lockout to protect the national logistics network.


3. OPERATIONAL STANDARDS & LOGISTICS

3.1. The "Last-Mile" Guarantee

Yonne provides the digital bridge for commerce. While we optimize for 100% successful fulfillment, the physical handling of goods is governed by our standard Courier Conduct Code.

3.2. Precision Billing

All financial calculations within the app, including distance-based fees (e.g., the MK 200/km standard), are based on the Yonne Central Command's geographic data. In the event of a discrepancy between a user's local device and our servers, the Server Record shall be the final authority.

3.3. Dynamic Adjustments

Yonne reserves the right to implement "Surge Pricing" or "Operational Adjustments" during peak demand or national emergencies to ensure the continued stability of the Malawian supply chain.


4. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS

4.1. Ownership of Innovation

The "Triad System" logic, our routing algorithms, and all software code are the trade secrets of Vendorme Technologies. Use of the Services does not grant any license to our underlying technology.

4.2. Protection Against Espionage

Any attempt to reverse-engineer, decompile, or mirror the Yonne interface or backend logic for the purpose of creating a competing service is strictly prohibited. We will seek maximum legal damages under the Electronic Transactions and Cyber Security Act of Malawi.


5. DATA SOVEREIGNTY & PERSISTENCE

5.1. Auditability Requirement

Due to the financial and physical nature of logistics, Yonne does not utilize "ephemeral" data processing for core services. All transaction metadata, GPS coordinates, and communication logs are stored in a secured, encrypted environment for a minimum of seven (7) years to comply with international auditing standards.

5.2. Privacy & Usage

We do not sell your data to third-party advertisers. We use aggregated, anonymized data solely to improve the efficiency of the Malawian digital economy.


6. FINANCIAL OBLIGATIONS & DISPUTES

6.1. Payment Finality

Once a courier has been dispatched and the "Pickup" phase is initiated, all service fees are deemed earned by the platform.

6.2. Merchant Credits

Funds held within the Yonne Merchant Wallet are for the sole purpose of facilitating logistics within the Ecosystem. Withdrawal requests are subject to our standard 48-hour security review to prevent fraudulent activity.

6.3. Chargebacks

Any fraudulent chargeback or unauthorized payment reversal will result in a permanent ban and reporting to national credit bureaus.


7. LIMITATION OF LIABILITY & INDEMNIFICATION

7.1. Indirect Losses

Vendorme Technologies shall not be held liable for "loss of business," "loss of opportunity," or any consequential damages resulting from a service interruption.

7.2. Force Majeure

We are not responsible for failures caused by events beyond our control, including but not limited to: national power grid failures, satellite outages, civil unrest, or severe weather conditions in the Republic of Malawi.

7.3. User Indemnity

You agree to indemnify and hold harmless Yonne and its stakeholders from any third-party claims arising from your misuse of the platform or your violation of these Terms.


8. TERMINATION OF SERVICE

8.1. Right to Terminate

Yonne may terminate or suspend access to the Ecosystem at its sole discretion, without notice, for any conduct that we believe violates these Terms or is harmful to the interests of other users or the platform's reputation.


9. GOVERNING LAW & ARBITRATION

9.1. Jurisdiction

These Terms are governed by the laws of the Republic of Malawi.

9.2. Resolution

Any dispute arising under these Terms shall first be submitted to private mediation in Lilongwe. If mediation fails, the dispute shall be settled by the High Court of Malawi.
